General Principles
The Disclosure Policy has been established within the framework of our Bank’s Corporate Governance Policy and the Corporate Governance Principles of the Capital Markets Board of Türkiye. Due care is exercised in accordance with the applicable legislation in monitoring the implementation of the Public Disclosure and Information Policy.
Authority and Responsibilities
The Board of Directors is authorised and responsible for overseeing and further developing HSBC Bank A.Ş.’s Disclosure Policy.
Disclosure Channels
With respect to public disclosure:
On a quarterly basis, the Bank’s unconsolidated and consolidated financial statements, together with the related notes and disclosures and the independent auditor’s report, are disclosed on the Public Disclosure Platform (PDP) and published on the Bank’s website within the prescribed statutory periods, in accordance with the regulations issued by the Banking Regulation and Supervision Agency (BRSA). The relevant financial statements are signed by the members of the Audit Committee and the Bank’s executives responsible for financial reporting, together with a declaration of accuracy.
The annual report is published on HSBC Bank’s website (www.hsbc.com.tr) before the Annual General Meeting each year, in accordance with BRSA regulations.
Bank employees who have access to inside information are informed of their responsibilities under the applicable legislation.
HSBC Bank A.Ş. strictly complies with its statutory obligation to maintain the confidentiality of banking and customer information, as required under the Banking Law and the applicable legislation.
Information and documents relating to amendments to the Articles of Association and General Meetings are published on the Bank’s website.
Information regarding General Meetings, amendments to the Articles of Association and capital increases is disclosed to the public through announcements published in the Turkish Trade Registry Gazette.
Press statements are issued where public disclosure is required. Statements to the media are made by the General Manager or duly authorised representatives.
The corporate website is monitored and kept up to date by Digital Marketing, Retail Marketing and Corporate Communications and provides information about the Bank in both Turkish and English. The security of the website is safeguarded by HSBC Bank.
In accordance with the provisions of the Turkish Commercial Code concerning corporate websites, the required information and documents can also be accessed through the e-Company platform established within the Central Securities Depository of Türkiye (MKK).
The Board of Directors is authorised to amend the Disclosure Policy and oversees the effectiveness of the process.
The Bank’s Management is responsible for implementing the Disclosure Policy.
